Operating principles

Section 01
P1

Over-delivery is the default.

The specification in this document is the standard Zach AI can be held to. Work delivered beyond the specification is added at our discretion and does not revise the specification.

Urgency is how we work.

Speed of execution is a founding commitment of this partnership. It is achieved through prepared systems and a senior team, and it is sustained for the full term.

Judgment before tools.

Every deliverable is directed by senior professionals. AI systems operate under their judgment, which determines where such systems are applied, at what depth, and where they are excluded.

Total ownership.

Every assignment under this charter receives the complete commitment of our team's attention, energy, and quality standards. This principle was stated by the Chairman in our meetings and is adopted here as a term of the partnership.

Every deliverable is billed, and every bill maps to a deliverable.

Each invoice corresponds to work specified in this document. No unspecified work accumulates, and the commercial position of the partnership remains clear to both organizations at all times.

Everything in writing.

Scope, changes, approvals, and commercial terms are recorded in writing through the agreed channels. The written record protects both organizations and keeps every commitment verifiable.

Ways of working

Section 02
Channels
  • Ms. Navya Gupta is our source of all information across the group, as designated by the Chairman: working material, assets, context, and coordination flow through her desk.
  • The Chairman holds the strategic channel: direction, the monthly review day, and the decisions reserved for his office.
Access
  • Access to the accounts, assets, information, facilities, and personnel required for delivery under this charter is provided by Resolute.
Updates
  • Written progress updates are issued by email or through our reporting system on a continuing basis.
  • At any point, Resolute has full visibility of what is in progress, what is in review, and what is awaiting a decision.
Approvals
  • General approval authority rests with Ms. Navya Gupta, Mr. Sachin Batra, and the Chairman.
  • Strategies are approved in writing before execution begins.
  • Decisions are requested within 48 to 72 hours. Beyond that window, a written reminder is sent and the affected timeline is paused until the decision is received.
Monthly review day
  • One full review day is held every month with the Chairman, on-site in Hyderabad or virtual by alternation, attended by the founders Jonathan and Jasim with the relevant team members.
  • The month's work across all modules is reviewed, the items to be scaled are identified, and the month ahead is set.
Acceptance
  • A deliverable is complete when it meets the specification printed in this document.
  • Resolute reviews each deliverable within 7 days of submission. If no feedback is received within that window, the deliverable stands accepted.
  • Feedback within the window that falls inside the printed specification is addressed at no charge.
  • Revision provisions are stated per module in Sections 03 and 04.
Change orders
  • Work outside a printed specification is treated as a change order.
  • Each change order is scoped, priced by effort and urgency, and confirmed in writing before work begins.
Billing mechanics
  • Monthly retained modules are invoiced monthly, in advance.
  • The Ad Hoc Presentation Desk is invoiced in four equal quarterly installments, in advance, the first on signing.
  • One-time modules are invoiced 50 percent on scheduling and 50 percent on delivery.
  • Invoices are raised in INR against the figures printed in this document.
  • GST at 18 percent applies in addition to all figures. The availability of input tax credit is to be reviewed with Resolute's finance team.
Confidentiality
  • Confidentiality is mutual and runs for the term of the partnership plus three years.
  • Access to Resolute's material is limited to the team members working on the account.
  • No reference to Resolute appears in Zach AI's marketing or portfolio without written consent.
Exclusivity
  • For the duration of this partnership, Zach AI will not undertake engagements for any other electronics manufacturing services company in India.
  • This exclusivity applies across all Zach AI service lines and is a standing term of the partnership.
Ownership
  • Every deliverable assigns to Resolute in full upon full payment: content, film, website, presentations, and playbooks.
  • For the Market Intelligence system: the deployed system, its configuration, and all data, reports, and dashboards it produces are Resolute's property.
  • The methodology and the back end used to build and operate the system remain the intellectual property of Zach AI.
People
  • Neither organization hires or engages the other's team members or subcontractors during the term and for 12 months after it ends.
On-ground presence
  • For the first three months of the partnership, Resolute issues an internship engagement letter for Allen Thomas, Creative Officer, for the production of media and marketing material on site.
  • He remains Zach AI personnel throughout. The letter serves his institution's requirement and enables full-time presence at the facilities during this period.
Liability
  • Each organization's total liability is capped at the fees paid in the three months preceding a claim.
  • Neither organization is liable for indirect or consequential losses.
Term and exit
  • The initial term is twelve months from signing, continuing monthly thereafter with 30 days' written notice.
  • On exit, Resolute retains everything delivered and paid for, in editable formats, with a structured handover.
Misalignment of vision
  • Any misalignment of vision on a task or deliverable is discussed and resolved directly between the Managing Director and Zach AI's Founder.

  • Opportunities, geographies, and policy movements reach the Chairman's office before they reach the market.
Module 1 · Scoping
  • A scoping workshop with Mr. Sachin and Ms. Navya.
  • The report format, sections, and priority themes locked in writing before the build begins.
Module 2 · Source layer
  • Up to 25 configured sources: trade press, policy and tariff feeds, company and partnership announcements, industry data.
  • Continuous monitoring across all sources, around the clock.
Module 3 · Analysis layer
  • Analysis across the five factors Resolute's team researches today: geopolitics, policy shifts, real-time events, innovations, and existing technologies the group could enter.
  • Predictive modelling projects where a market, product, or policy is likely to move next, so Resolute acts early.
  • Every signal is tied to its trigger, so the reason behind each opportunity is visible.
Module 4 · Reporting and dashboards
  • A report generator producing the locked format on schedule: one report every two days.
  • Dashboards in Resolute brand for Mr. Raminder, Mr. Sachin, and Ms. Navya: opportunities, regions to avoid, and significant developments at a glance.
Module 5 · Deployment
  • Deployment, training, and documentation for the three users.
  • Tuning, fixes, and source adjustments from go-live are covered in full under Market Intelligence · Maintenance.
Ownership
  • The deployed system, its configuration, and all data, reports, and dashboards are Resolute's property.
  • The methodology and the back end remain the intellectual property of Zach AI.
  • Continuing operation runs under Market Intelligence · Maintenance, R2.
Sequencing
  • The build begins on signing and runs in the background of phase one.
Billing
  • ₹2,50,000 on scheduling, ₹2,50,000 on delivery of the working system, plus GST.

  • One master deck of 15 to 18 slides, 21 at the absolute maximum.
  • Narrative architecture: the group story, management structure, and capabilities, followed by the three manufacturing companies in profile.
  • Service companies excluded by design. This deck sells the EMS business.
Module 2 · Craft
  • Built by our design lead and senior strategist.
  • Full copywriting of every slide in the plain global register the Chairman has set.
  • Data visualization for the figures that matter, with Resolute's imagery and drone stills throughout.
Module 3 · Handover
  • Editable source files in PowerPoint, with a reusable template for the group's future decks.
  • Presenter notes for the person who will deliver it.
Language option
  • On request, the presentation is produced in Chinese, Japanese, and Taiwanese through expert translators, at ₹88,000.
Excluded
  • Printed collateral.

  • A discovery and positioning workshop with leadership.
  • A competitive teardown of the global EMS set: Flex, Jabil, Plexus, Celestica, Dixon.

  • Information architecture and sitemap for 12 to 14 pages: the group, the three manufacturing companies, capabilities, industries, quality and certifications, leadership and the founding story, contact.
  • Pages beyond fourteen, by change order.
Module 3 · Design
  • Mouse heat mapping and predictive modelling of where visitors on this class of website look, move, and act.
  • Key messages and contact funnels placed in the highest-attention zones.
  • Two design directions presented; the chosen direction is built into a full system: light background, black text, restraint.
Module 4 · Copy
  • Copywriting for every page, anchored to "Make in India, Make it Resolute."
  • Written for both Eastern and Western buyers, stating capability plainly.
  • No templated or placeholder text anywhere on the site.
Module 5 · Generative engine optimization
  • Structured data and schema on every page, so AI engines read the site cleanly.
  • Entity work: the group, its companies, capabilities, and leadership defined in machine-readable form.
  • Page copy patterned to the questions buyers ask AI engines, so Resolute is the answer they cite.
  • An indexing and verification pass across the major AI engines at launch.
Module 6 · Build and launch
  • Fully responsive build, with our developers aligned to Resolute's technical team.
  • Core Web Vitals targets, SSL, and analytics wired from day one.
  • Quality assurance across devices and browsers, full content load, and structured review before launch.
  • A handover session before launch.
  • Defects and content changes in the first 30 days after launch are handled at no charge.
Languages
  • The site is translated into the languages of Resolute's top two ICP demographics, included at no charge.
Excluded
  • Hosting and domain charges, at cost.
  • Photography and drone shoots. Resolute provides assets; we art-direct what to capture.
  • Translations beyond the two included languages, and e-commerce.
  • Post-launch maintenance and content changes after the 30-day window, scoped as a care retainer at launch or by change order.
Resolute provides
  • Brand assets, imagery, and footage.
  • Certification lists, workforce figures, and market claims verified for public use before print.
  • One consolidated feedback pass per round.
  • DNS access at launch.
Revisions
  • Three rounds on design, three on copy, two on build QA.
Sequencing
  • Sitemap and architecture work begins on signing, in the background of phase one. The build opens in phase two.
Billing
  • ₹4,88,500 on scheduling, ₹4,88,500 on delivery, plus GST.

Resolute Group Film

Outcome
  • A group film built the way the world's leading manufacturers present themselves: pure visuals, single lines of plain text, no voiceover.
  • The viewer finishes the film holding the story of Resolute, and it replaces the current four-minute film across every channel.
Module 1 · Concept
  • Two script and concept directions; Resolute selects one.
  • A full storyboard approved before any camera moves.
Module 2 · Production
  • Direction and production supervised end to end by our team, with top-tier cinematography talent engaged for the shoot.
  • Shooting across Resolute's pan-India locations, wrapped within 7 working days.
  • Camera and standard equipment included in the project price.
  • Travel to locations and accommodation included, except where accommodation is provided at the Resolute guest house.
  • Specialist gear beyond our kit, if required, at cost and agreed in advance.
Module 3 · Edit and delivery
  • One master film of 60 to 90 seconds.
  • A 30-second cut, a 15-second cut, and a vertical edit.
  • Color grade, sound mix, licensed music, and English subtitles.
  • Resolute's existing drone and facility footage used wherever it strengthens the film.
  • Delivery in all master formats, with an organized asset folder owned by Resolute outright.
Excluded
  • Edits beyond the four listed.
  • Paid distribution and media, if any.
  • Rights to premium or commercial music tracks: where a specific track is chosen to strengthen the film's vision, its licensing is additional, at cost and agreed in advance.
Resolute provides
  • Location access and scheduling across sites, including access to the production lines for videography.
  • On-ground travel and logistics support.
  • Any information useful to producing a high-quality film.
  • Creative freedom to ideate and develop the film on Resolute's global vision.
  • People on camera and the existing footage library.
  • One consolidated feedback pass per round.
Revisions
  • Two rounds on the edit.
Sequencing
  • Film work begins upon intimation from the Chairman, once he is satisfied with the progress of the presentation and LinkedIn work, or whenever the Chairman is ready.
Billing
  • ₹4,50,000 on scheduling, ₹4,50,000 on delivery, plus GST.

  • Signature designs for four companies: the group and the three EMS companies, each carrying its own logo, in the brand's blue and orange.
  • One clean line per signature: name, designation, email, phone, and website, per the decisions taken with the Chairman.
  • A specification file with each design: exact color codes for the title and role type, and the full contact layout, so signatures can be reproduced and edited in-house.
  • Three revision rounds completed following delivery.
Ad hoc presentation
  • One presentation delivered on June 23, within a two-day turnaround.
  • Two revision rounds completed.
Billing
  • ₹70,500 in total, plus GST, invoiced on signing. Price fixed.

Future scope, once the deliverables of this document have been completed: workforce AI upskilling, the X account revival, the HR and hiring system, MES-integrated factory analytics, and factory-floor AI including line productivity and defect detection. Each arrives as its own specification and commercials, in the order the Chairman has set: visibility first, people next, then the factory.

Module 1 · Chairman's desk
  • 8 ghostwritten LinkedIn posts a month in Mr. Raminder's voice, written by the senior ghostwriting desk of the Zach AI team: dedicated writers and designers assigned to his account.
  • Two recorded sessions with him every month, each a minimum of one hour, capture his insights and way of operating.
  • Full management of his personal presence: reposts, comment engagement, and connection growth toward the people he should be connected with.
  • Voice, cadence, and account details are finalized in a direct conversation between the Chairman and the lead writer of the Zach AI team.
  • Nothing publishes without his approval, and review reports are sent every week.
Module 2 · Company page
  • 12 to 15 posts a month on the company LinkedIn, across the three pillars: people, process, capability.
  • Formats are multimedia, selected to the objective of each post: natural and quote-style imagery, text graphics, short videos, and carousels where a catalog, launch, or process story calls for one.
  • Every post is written, designed, approved, and published by our team.
Module 3 · Takeover and rebrand
  • Full handover of the accounts to our management.
  • Profile and page rebranding: headshot direction, verification, and cleanup to the standard of a global presence.
  • All operational work is carried by our team.
Module 4 · Engagement
  • Business-hours monitoring of both accounts.
  • Replies and comment triage within 24 hours.
  • A weekly inbox summary to Ms. Navya, Mr. Raminder, and Mr. Sachin.
Module 5 · Strategy
  • The monthly plan and brand direction are set directly with the Chairman, with Ms. Navya kept in the loop, anchored to "Make in India, Make it Resolute."
  • Operational reports are shared with Ms. Navya and the Chairman on a continuing basis.
  • The month's performance is taken to the monthly review day, where the items to be scaled are set.

  • Paid advertising and boosted content. All growth under this module is organic.
  • X. The account requires a dedicated revival project, which is scoped separately on the Chairman's instruction.
  • Instagram and YouTube, which are taken up only on the Chairman's instruction.
  • PR retainers and press placement fees.
  • Film and studio video production, which is B4. Website work, which is B3.
  • Volumes beyond the counts above, by change order.

  • Source upkeep across all 25 configured sources, with replacements when sources change or close.
  • Generation and delivery of an intelligence report to Ms. Navya by email every two days: products Resolute could manufacture or invest in, geographies worth entering, who is making what today, and the trigger behind each signal.
  • Dashboard maintenance for Mr. Raminder, Mr. Sachin, and Ms. Navya.
  • The learning loop: the system lets the user mark what is relevant in each report, and every selection feeds back into the system for timely alignment with leadership's priorities.
  • Tuning, fixes, and source adjustments, covered in full under this line.

  • Design and copy to the group standard, with editable source files delivered every time.

  • The EMS Group Presentation, which is a dedicated build under B2.
  • Presentations beyond the ten, by change order or the following year's desk.

Billing
  • ₹7,80,000 per year, plus GST, invoiced in four quarterly installments of ₹1,95,000, the first on signing.
